DBA By-laws Review and Update

Dear Delta Beach Association Members,

We hope this letter finds you well, enjoying the unique community spirit that defines Delta Beach. As part of our commitment to transparency and effective governance, we’d like to update you on a significant development discussed during our AGM.

Following a review conducted by the Law Centre at the University of Manitoba, it was recommended that we update our by-laws. As a result, we are sharing the attached document for your consideration. We understand that delving into the paperwork of a non-profit organization may not be everyone’s favorite task, but these documents form the foundation of how the DBA operates.

Your input is crucial in shaping the governance of your community, so we kindly ask you to read the attached document and share any questions or suggestions you may have. Once we gather your feedback, our plan is to present a final draft in the Spring for your review. Subsequently, we aim to bring it to the AGM for a Special Resolution to incorporate the new by-laws.

For those with limited time, here’s a brief summary of key points:

1. Undertaking and Objectives:
– Enhancing Delta Beach for residents and visitors.
– Objectives include formulating policies for recreational resort use, acquiring land for recreational facilities, and promoting a safe and attractive community.
– Emphasis on environmental stewardship for Lake Manitoba and the Delta Marsh.

2. General Business:
– Operating as a non-share corporation on a not-for-profit basis.
– Legal name: "Delta Beach Association Inc." (DBA).
– Registered office: Delta Beach, Rural Municipality of Portage la Prairie.

3. Financial Matters:
– The board may fix and change the financial year-end by resolution.
– Banking transactions at designated banks, with records and audits for handled funds.
– Borrowing powers granted to the board without member authorization.

4. Membership:
– Limited to Delta Beach property owners.
– No membership fees.
– Termination of membership outlined, including resignation, expulsion, and dissolution.

5. Member Meetings:
– Annual meeting in June or July.
– Voting privileges and procedures detailed.
– Special meetings can be called by the board, and resolutions in lieu of meetings are allowed.

6. Board of Directors:
– Board consists of 3 to 10 directors.
– Qualifications, election, and term of office outlined.
– Procedures for vacancies, resignations, and remuneration explained.

7. Powers of Directors:
– Directors empowered to manage Association affairs.
– Delegation, borrowing powers, and policies addressed.

8. Committees:
– Board and operational/advisory committees explained.
– Meeting rules, actions, and responsibilities outlined.

9. Officers:
– President, Secretary, and Treasurer defined as officers.
– Appointment, removal, and duties explained.

10. Indemnities and Insurance:
– Directors indemnified against certain liabilities.
– The Association may purchase insurance for directors and officers.
